Xtenia — TERMS AND CONDITIONS

ARTICLE 1 | DEFINITIONS

In these Terms and Conditions, the following capitalized terms shall have the following meanings:

Xtenia: The entity selling Products through its Webshop, established in Spain and operating under EU law.

Customer: Any natural or legal person with whom Xtenia has concluded or intends to conclude an Agreement.

Consumer: A Customer who is a natural person not acting in the exercise of a profession or business.

Agreement: Any contract concluded between Xtenia and the Customer through the Webshop for the delivery of Products.

Products: Goods offered and sold by Xtenia, including but not limited to fitness equipment such as bars, resistance bands, rings, parallettes, vests, and accessories.

Webshop: The online platform at www.xtenia.com through which Products are offered for sale.

Written: Includes communication via email and other electronic formats that can be stored and reproduced.


ARTICLE 2 | GENERAL PROVISIONS

2.1 These Terms apply to all offers, agreements, and deliveries made by or through Xtenia.

2.2 The applicability of any general terms and conditions from the Customer is expressly excluded.

2.3 Deviations from these Terms are only valid if expressly agreed in writing.

2.4 If any provision of these Terms is invalid or unenforceable, the remaining provisions shall remain in full force and effect.


ARTICLE 3 | OFFER AND AGREEMENT FORMATION

3.1 All offers are non-binding and may be withdrawn by Xtenia at any time before acceptance.

3.2 An Agreement is formed when the Customer accepts the offer and satisfies all explicitly stated conditions.

3.3 After acceptance, Xtenia shall confirm the Agreement via email.


ARTICLE 4 | RIGHT OF WITHDRAWAL (CONSUMERS)

4.1 Consumers have the right to withdraw from the Agreement within 14 days of receiving the Product, without stating a reason.

4.2 The right of withdrawal does not apply to:

  • Products that are not suitable for return due to hygiene reasons if the seal or packaging has been opened;

  • Custom or personalized items;

  • Products purchased during special sales or promotions.

4.3 The Consumer must notify Xtenia of the withdrawal in writing via email or a withdrawal form.

4.4 Products must be returned within 14 days of withdrawal notice, unused and in their original condition and packaging.

4.5 The Consumer is liable for any diminished value resulting from handling beyond what is necessary to assess the Product.

4.6 Return shipping costs are the Consumer's responsibility. Xtenia is not obligated to reimburse these costs.

4.7 Upon receiving the returned Products, Xtenia will issue a refund within 14 days to the original payment method.


ARTICLE 5 | DELIVERY TERMS

5.1 Delivery times are indicative and not binding. Delays do not entitle the Customer to compensation or cancellation, unless agreed otherwise.

5.2 If delivery is delayed significantly, Xtenia will inform the Customer and offer a revised delivery timeline or cancellation.


ARTICLE 6 | DELIVERY AND RISK

6.1 Products are delivered to the address specified by the Customer.

6.2 Risk passes to the Customer upon delivery.

6.3 If the Customer fails to accept delivery, Xtenia may charge for storage and reshipping.


ARTICLE 7 | INSPECTION AND WARRANTY

7.1 The Customer must inspect Products immediately upon delivery.

7.2 Visible defects must be reported within 7 days. Hidden defects must be reported within 2 months of discovery.

7.3 Complaints must be submitted via email. Timely complaints do not suspend payment obligations.

7.4 Warranty covers manufacturing defects and non-conformity under EU consumer law. Damage due to misuse, wear, or external causes is excluded.

7.5 Any warranty is void if Products are used improperly or modified without Xtenia' consent.


ARTICLE 8 | FORCE MAJEURE

8.1 Xtenia is not liable for failure to perform due to circumstances beyond its control (force majeure), including but not limited to natural disasters, strikes, pandemics, and transport delays.

8.2 In the event of force majeure, Xtenia may suspend or dissolve the Agreement without liability.


ARTICLE 9 | PRICING AND PAYMENT

9.1 All prices include VAT and are stated in euros. Delivery costs are specified separately before order confirmation.

9.2 Xtenia may require full or partial advance payment.

9.3 Payments must be made using the methods offered in the Webshop.

9.4 Late payment may result in statutory interest and recovery costs being charged to the Customer.


ARTICLE 10 | LIABILITY

10.1 Xtenia is not liable for indirect damages such as loss of profit or business interruption.

10.2 Xtenia' liability is limited to the invoice value of the relevant part of the Agreement.

10.3 The Customer must give Xtenia the opportunity to remedy any shortcomings before seeking compensation.

10.4 For Consumers, legal rights under EU consumer law always apply.


ARTICLE 11 | USE AND STORAGE OF PRODUCTS

11.1 Xtenia equipment is suitable for both indoor and outdoor use, but must be stored in a dry environment.

11.2 Exposure to moisture can lead to corrosion or damage. Proper storage prolongs product life.

11.3 The user manual must be read and followed. Failure to do so may void warranties or return rights.

11.4 Xtenia is not liable for injury or damage due to misuse or failure to follow instructions.


ARTICLE 12 | COMPLAINTS PROCEDURE

12.1 Complaints must be submitted in writing to contact@xtenia.com within a reasonable time.

12.2 Xtenia aims to respond within 7 working days. If more time is needed, an acknowledgment and revised timeline will be provided.

12.3 Consumers may also use the EU ODR platform to resolve disputes: https://ec.europa.eu/consumers/odr/


ARTICLE 13 | FINAL PROVISIONS

13.1 Products remain the property of Xtenia until full payment is received.

13.2 Spanish law applies to all Agreements. The competent court in Spain has exclusive jurisdiction unless mandatory EU law dictates otherwise.

13.3 Before initiating legal proceedings, Parties shall attempt to resolve disputes amicably.

13.4 If these Terms are translated into another language, the Spanish version prevails for interpretation.
